  1. Comments are not immediately posted to the blog. We will review all submitted comments in a timely fashion, but we cannot respond to every comment.
  2. Improper Content, as described in the Usage Rules below and as we otherwise determine in our sole discretion, is not permitted. Improper Content includes (but is not limited to) spam, defamatory statements, the use of profanity, or content that is in any other way inappropriate. Please review the Usage Rules for a fuller description of what we generally view as improper.
  3. The Women & Co. blog is designed to focus on general financial-related issues for women. Do not submit specific account related questions or concerns through the Women & Co. blog. We did not configure the Women & Co. blog to respond to questions about any specific account. If you have questions about your account or any other specific question about your situation, please click the "Contact Us" link at www.citi.com to locate the appropriate department to contact directly.
  4. Do not submit account numbers or any personally identifying information (e.g., Social Security number, drivers license number), through the Women & Co. blog.

USAGE RULES

As used in these Usage Rules, the terms "we," "us," and "our" refer collectively to Women & Co. As used in these Usage Rules, the word "you" refers to you individually, and to your company if you are using the Site on behalf of your company.

This site is published in the United States and is directed at and approved for distribution to and use by residents of the United States. Persons located outside the United States should not rely or act upon any information on this Site and should not submit any blog comments. We reserve the right to require proof of residence from any user accessing this Site and requesting information.

You shall indemnify, defend and hold harmless Women & Co., Citigroup Inc., its subsidiaries and its affiliates ("Citi"), and its officers, employees and agents, from any and all losses, injuries, claims, liabilities, damages, fines, penalties, costs and expenses including reasonable attorneys' fees, incurred as a result of or arising out of your acts or omissions, including those arising out of your use of the Site, your submissions, postings, or transmission on the Site, your violation of any policies, guidelines or Usage Rules governing the Site, or your violation of any rights of another.

USE OF THE SITE AND USER GENERATED CONTENT

  1. Site Use License: Permission is granted to view this Site and to print individual pages from this Site for your own personal, non-commercial use. You may download Women & Co. provided text, graphics, audio, or video content ("Content") displayed on this Site for your own personal use, provided (a) you do not remove or modify any copyright, trademark, or other proprietary notices or any disclosures; (b) you agree to any terms, conditions, and notices accompanying the Content; and (c) you comply with all copyright and other intellectual property laws. This limited, revocable, non-transferable privilege to use the Content in no way constitutes a transfer of any right, title or interest in the Content you download. This is a grant of a license, not a transfer of title, and under this license you may not: (1) modify or copy the Content (except as set forth in the preceding sentence); (2) use the Content for any commercial purpose, or for any public display (commercial or non-commercial); (3) attempt to decompile or reverse engineer any software contained on this Site; (4) transfer the Content to another person or "mirror" the Content on any other server; or (6) otherwise distribute, transmit, display, perform, reproduce, publish, license, or create derivative works from any information, material, software, products or Services on this Site.   2. Ownership and License of User Content: We welcome submissions of your comments and ideas ("User Content" or "comment/s"). All User Content will be considered NON-CONFIDENTIAL and NON-PROPRIETARY. We may respond to your comment but we cannot guarantee a response to all comments. By submitting User Content, you grant to Women & Co., Citi, its parents, affiliates, subsidiaries, licensees, sub-licensees, and Site users, a worldwide, perpetual, non-exclusive, sub-licensable, transferable license to use, copy, display, perform, distribute, adapt, modify, and promote the User Content in any medium, now known or hereafter created. Women & Co. and Citi shall be free to use, for any purpose, any ideas, concepts, know-how, techniques, or content contained in User Content you may provide through this Site. We and Citi will be entitled to use, make, reproduce, disclose, distribute, perform publicly, display publicly, create derivative works of, and reduce to practice any User Content submitted to us, for any purposes whatsoever, without restriction and without compensating you in any way. Women & Co. and Citi shall not be subject to any obligations of confidentiality regarding the User Content, except as required by law. We are under no obligation to post or use any User Content submitted and we or our designees may remove any comment at any time in our sole discretion.
  3. Responsibility for User Content: All User Content, whether publicly posted or privately transmitted, is the sole responsibility of the person from whom such Content originated. This means that you, and not Women & Co. or Citi, are entirely responsible for any and all User Content that you upload, post, share, or otherwise display via the Site. Additionally, unless we provide a response to your User Content through one of our Site administrators, any User Content of one of our or Citi's employees is an expression of the viewpoint of that person alone.
  4. Warranties and Representations on User Content: By posting or submitting User Content you warrant and represent that you own or otherwise control any and all of the rights to your submission including, but not limited to, all the rights necessary for you to provide, post, upload, input or submit the User Content. To the extent that the User Content submitted contains copyrighted or protected content you warrant and represent that (a) you are the owner of such content, or that the owner has granted you permission to use such content consistent with the manner and purpose of your use, (b) you have the rights necessary to grant the licenses and sub-licenses described in these Usage Rules, and (c) that each person depicted in such content, if any, has provided consent to the use of the content as set forth in these Usage Rules. Women & Co. and Citi reserve the right to request a proof of ownership or permission and to refuse to post User Content without such proof or if such proof is not, at their sole discretion, sufficient.
  5. Improper Content Prohibitions: In relation to any User Content, you agree that you will not submit Improper Content, which includes the following:
    1. transmitting any content or otherwise conducting or participating in any activity on the Site that is prohibited by law in any applicable jurisdiction, including laws governing the encryption of software, data privacy or protection, the export of technology, the transmission of obscenity, copyright law, or the permissible uses of intellectual property;
    2. uploading, or otherwise making available, files that contain images, software or other material protected by intellectual property laws, including, by way of example, copyright or trademark laws unless you own or control the rights thereto or have received all necessary consents to submit such materials to the site;
    3. using any material or information, including images or photographs, which are made available through the Site in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;
    4. using the Site to intentionally spread false information or rumors, or engaging in other abusive activity with respect to securities or other financial instruments;
    5. uploading, posting, emailing, transmitting or otherwise making available trade secrets, or confidential or non-public information about publicly traded securities or other financial instruments;
    6. uploading, posting, emailing, transmitting or otherwise making available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, denigrating, vulgar, obscene, libelous, invasive of another's privacy, inflammatory, discriminatory or otherwise objectionable;
    7. using the Site to "stalk" or otherwise harass or harm another;
    8. using the Site to promote yourself or your business; your User Content must not be self-serving and absolutely no type of advertising or solicitation efforts will be allowed;
    9. impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity or collecting or storing personal data about other users in connection with the prohibited conduct and activities;
    10. uploading, posting, emailing, transmitting or otherwise making available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
    11. uploading, posting, emailing, transmitting or otherwise making available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
    12. uploading or submitting any content that contains links to or lists the url/domain name of other websites.
    13. uploading, posting, emailing, transmitting or otherwise making available any material that contains software viruses, Trojan horses, worms, time bombs, corrupted files, or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment, or that may damage or interfere with the operation of another's computer or property of another;
    14. using the Site in any manner that could damage, disable, overburden, or impair any Citi server, or network(s) connections, disobey any requirements, procedures, policies or regulations of networks connected to the Site or interfere with any other party's use and enjoyment of the Site;
    15. attempting to gain unauthorized access to any Site, other accounts, computer systems or networks connected to any Citi server or Site, through hacking, password mining or any other means or obtaining or attempting to obtain any materials or information through any means not intentionally made available through the Site;
    16. intentionally or unintentionally violating any applicable local, state, national or international law;
    17. providing material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
    18. forging headers or otherwise manipulating identifiers (including URLs) in order to disguise the origin of any materials transmitted to or from the site, or deleting or altering any attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other uploaded material; and/or
    19. collecting information about others, including e-mail addresses or other personal information.
  6. Site Moderation: Women & Co. and its designees retain the right, at their sole discretion to pre-screen, refuse, monitor, restrict access to, modify or remove any User Content from the Site. Without limiting the foregoing, Women & Co. reserves the right to refuse or delete any User Content of which it becomes aware and at its sole discretion deems infringing, inappropriate or not to fulfill the spirit or purpose of the Site. In addition, Women & Co. shall have the right (but not the obligation) in its sole discretion to refuse or delete any User Content, including but not limited to User Content that it considers to constitute Improper Content or to be illegal. Women & Co., in its sole and absolute discretion, may preserve User Content and may also disclose User Content if required to do so by law or judicial or governmental mandate or as reasonably determined useful by Women & Co. to protect the rights, property, or personal safety of Site, its users and the public. Women & Co. does not guarantee the accuracy, integrity or quality of such User Content. Under no circumstances will Women & Co. be liable in any way for any User Content, including, but not limited to, liability for any errors or omissions in any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise transmitted via the Site. You should exercise discretion before relying on information in User Content as such User Content may contain false or otherwise misleading information. To the extent that you use or rely on information posted within the Site, you do so solely at your own risk.

No Advice by Women & Co. or Citi: No comments made by any employee or agent of Women & Co. or Citi or any user through the Site should be understood or used as the sole basis of any investment or financial decision, nor should they be construed as advice or recommendations. It is possible that users will post comments on the Site related to their experiences. Like other postings on the Site, we are not liable for any such postings and, such comments may contain false or misleading information.
  8. Disclaimer of Liability: Women & Co. specifically disclaims any and all representations or warranties, express or implied, as to User Content, including, without limitation, any representations or warranties of accuracy, completeness, timeliness, non-infringement, merchantability or fitness for a particular purpose. Women & Co. will not be liable for any loss or injury caused in whole or part as a result of procuring, compiling, interpreting, reporting or delivering User Content or as a result of any third party use of such User Content.
  9. General Terms

    1. General Practices Regarding Use and Storage: Women & Co. may establish general practices and limitations concerning use of the Site. While Women & Co. will use reasonable efforts to back up Site data in compliance with applicable law, Women & Co. has no responsibility or liability for the deletion or failure to store any data or other content maintained or transmitted by others on this Site. Women & Co. reserves the right to mark as "inactive" and archive User Content that is inactive for an extended period of time. Women & Co. reserves the right to change these general practices at any time, at its sole discretion. Women & Co. will retain data as required by applicable laws and regulations, and pursuant to its contractual obligations.
    2. Relationship: Neither Women & Co. nor its service providers shall be considered an agent or other legal representative of yours for any purpose by reason of these Usage Rules. Nothing herein shall be deemed to create an agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship of any kind between Citi and you or any other person or entity nor do these Usage Rules extend rights to any third party. Women & Co. does not and cannot control the actions of Site users, visitors or linked third parties. We reserve the right to report any malfeasance that comes to our attention to the appropriate authorities.
    3. Copyrights: It is Citi's policy to respond promptly to claims of intellectual property misuse. If you believe that your work has been copied and is accessible on this site in a way that constitutes copyright infringement, please notify us through the process set forth below. If Citi determines, based on its sole discretion that you are a repeat offender under the DMCA, all your User Content will be removed, and Citi reserves the right to take whatever other actions it deems necessary, including notifying the appropriate government authorities.

      NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT RELATING TO THE ACTIVITIES OF CITIGROUP'S DESIGNATED AGENT

Termination of these Usage Rules will not affect, or result in the termination of, any such other agreements.
    5. Severability: If any provision of these Usage Rules is held unenforceable, the validity or enforceability of the remaining provisions will not be affected, and the unenforceable provision will be replaced with an enforceable provision that comes closest to the intention underlying the unenforceable provision.
    6. Governing Law: Your relationship with Women & Co. shall be governed by the laws of the State of New York without regard to its conflict of law provisions. If any provision of these Usage rules is found by a court of competent jurisdiction to be invalid, it is nevertheless agreed that the court should endeavor to give effect to the intentions of the drafters as reflected in the applicable provision, and other provisions remain in full force and effect.
    7. Changes: We are continually adding features and functionality to this Site. Because of these changes, changes in the law, or changes in technology, we may need to revise these Usage Rules from time to time. Accordingly, we reserve the right to update or modify these Usage Rules, at any time and without prior notice, by posting the revisions on this Site. These changes will be effective as of the date posted. Your use of this Site following any such change constitutes your agreement to be bound by the revised Usage Rules.
